Pursuant to the Constitution of the Socialist Republic of Vietnam;
The National Assembly promulgates a Civil Code.
UNIT 3: COMPANY LAW: CAPITALIZATION
1. Capitalization: refers to the act of providing capital for a company through the issuance of various securities.
2. Subscriber = shareholder: someone who agrees to buy shares or other securities.
3. Issued share capital (vốn cổ phần đã phát hành) : the monetary value of the shares of stock a company actually offers for sale to investors.
4. Ordinary shares (common shares): the payment of dividends is dependent upon the performance of the company.
UNIT 2: COMPANY LAW: COMPANY FORMATION AND MANAGEMENT
1. Legal person: the company that has full rights and responsibilities to engage in social and economic activities according to the law.
Ex: - Limited liability company
- Joint-stock company
- Partnerships
2. Personal liability: legal obligation of individual
3. Ultra vires (vai-ri.s) acts: beyond the legal power of the company that is mentioned in articles of association.
